Where You use the Service for purposes outside Your trade, business, craft or profession, You are treated as a consumer and benefit from the consumer rights and protections provided by applicable law.

Where You access or use the Service on behalf of a company, organisation or other legal entity, You represent that You have authority to act on behalf of that entity. Consumer rights and protections that apply only to consumers do not apply to such business use.

The Company may separately provide services, features or interfaces specifically intended for businesses, organisations or other professional users. Those services are governed by separate business terms and conditions and are not governed by these Terms to the extent stated in those separate terms.

By creating an Account or otherwise accessing or using the Service after having a reasonable opportunity to review these Terms, You agree to be bound by these Terms. If You do not agree with these Terms, You must not use the Service.

You must be at least 18 years old to use the Service or create an Account. The Company does not permit persons under the age of 18 to use the Service.

Privacy

The Company processes personal data in connection with the Service in accordance with applicable data protection law and Our Privacy Policy. Our Privacy Policy explains how and why personal data is collected and processed, the applicable legal bases, how long personal data is retained, how it may be shared, and the rights available to You under applicable data protection law.

Please read Our Privacy Policy carefully. Where the Company is required by applicable law to obtain Your consent for a particular processing activity, that consent will be requested separately.

User Accounts

When You create an Account with Us, You must provide information that is accurate, complete and current where such information is required for the operation of the Account. You must update such information where reasonably necessary.

Providing materially false, misleading or outdated Account information, or failing to correct such information where reasonably requested by the Company, may result in restriction, suspension or termination of the Account in accordance with the section “Suspension and Termination.”

You are responsible for taking reasonable measures to safeguard the credentials used to access Your Account. You must notify Us without undue delay if You become aware of unauthorised access to or use of Your Account or another material security incident affecting Your Account.

You may not select or use a username that unlawfully impersonates another person or entity, infringes the rights of another person, is unlawfully discriminatory or threatening, or is otherwise prohibited by these Terms or applicable law.

Content Your Right to Post Content

You retain ownership of the rights You hold in Content that You submit, post or otherwise make available through the Service.

By making Content available through the Service, You grant the Company a non-exclusive, worldwide and royalty-free licence to host, store, reproduce, display, communicate and technically adapt that Content to the extent reasonably necessary to operate, provide, maintain, secure and moderate the Service. Technical adaptations may include resizing, formatting, compression or similar changes required for the operation or presentation of the Service.

The Company may allow its service providers to process or reproduce Content solely to the extent reasonably necessary to provide services to the Company in connection with the operation of the Service.

This licence does not transfer ownership of Your Content to the Company and does not grant other users any independent right to reproduce, distribute or commercially exploit Your Content merely because they can view it through the Service.

The licence will end when the relevant Content is permanently deleted from the Service, except to the extent that temporary copies remain in backups or retention is required or permitted by applicable law.

You represent that You own the Content You submit or otherwise have the rights and permissions necessary to make the Content available through the Service and to grant the rights described in these Terms.

Content Restrictions

You must not submit, upload, publish or otherwise make available Content that:

  • violates applicable law or promotes unlawful activity;

  • is unlawfully threatening, harassing, hateful, discriminatory or defamatory;

  • infringes another person’s copyright, trademark or other intellectual property rights;

  • unlawfully infringes another person’s privacy, data protection, personality, image or contractual rights;

  • unlawfully impersonates another person or entity;

  • contains malware, malicious code or other material intended to interfere with, damage or obtain unauthorised access to systems, Devices or data;

  • constitutes unauthorised spam, commercial solicitation or similar abusive activity; or

  • is deliberately false or misleading in circumstances where it is reasonably likely to cause material harm.

Moderation of Content and enforcement of these restrictions are governed by the section “Content Moderation and Reporting Illegal Content.”

Content Moderation and Reporting Illegal Content

The Company may moderate Content in order to enforce these Terms, protect the Service and its users, and comply with applicable law. Depending on the circumstances, moderation measures may include restricting the visibility of Content, removing Content, disabling access to Content, limiting access to particular features of the Service, or suspending or terminating an Account where such action is necessary and proportionate.

Content moderation may be based on reports submitted by users or third parties, review carried out by the Company, and technical tools used to identify or prioritise potentially unlawful Content, spam, malware, abusive activity or Content that may violate these Terms. The Company may use automated tools for specific moderation functions, such as filtering usernames that contain prohibited, abusive or otherwise inappropriate terms. Other moderation measures may involve human review where appropriate.

Any individual or entity may notify the Company of specific Content that they believe to be illegal by contacting the Company at hello@sidestreets.app.

A report should, where reasonably possible, include:

  • a sufficiently detailed explanation of why the Content is believed to be illegal;

  • the exact location of the Content within the Service, such as a URL, Content identifier or other information enabling the Company to locate it;

  • the name and email address of the person or entity submitting the report, except where applicable law permits such information to be omitted; and

  • a statement confirming the bona fide belief of the person submitting the report that the information and allegations contained in the report are accurate and complete.

The Company may request additional information where reasonably necessary to identify the Content or assess the report.

Where electronic contact information has been provided, the Company will acknowledge receipt of the report without undue delay and will inform the person submitting the report of the Company's decision and, where required by applicable law, the available means of redress.

Reports will be assessed in a timely, diligent, objective and non-arbitrary manner. Submission of a report does not automatically require the Company to remove or restrict the reported Content.

Where the Company restricts Content, an Account or access to the Service because Content is considered illegal or incompatible with these Terms, the Company will provide the affected user with a clear and specific statement of reasons and information concerning available means of redress where required by applicable law.

The Company may preserve relevant information, restrict access to Content, or provide information to competent authorities where required or permitted by applicable law.

Content Backups

The Service is not intended to serve as the sole storage or backup location for Content. You should retain Your own copies of Content that You consider important.

The Company is not required to maintain backups of Content. If the Company uses backup or recovery measures, such measures are intended for operational purposes and do not guarantee that any particular Content can be restored.

Nothing in this section excludes or limits liability or any mandatory consumer right to the extent that such exclusion or limitation is prohibited by applicable law.

Copyright Policy

Copyright and Intellectual Property Infringement

We respect the intellectual property rights of others. Content made available through the Service must not infringe the copyright or other intellectual property rights of any person.

If You believe that Content available through the Service infringes Your copyright or other intellectual property rights, or if You are authorized to act on behalf of the relevant rights holder, You may submit a notice to the Company by email at hello@sidestreets.app.

You may be held accountable for damages (including costs) for misrepresenting that any Content is infringing Your copyright.

To allow the Company to assess the notice, please provide:

  • Your name and email address;

  • identification of the copyrighted work or other intellectual property right that You believe has been infringed;

  • a clear identification of the Content concerned and its exact location within the Service, including a URL or other information reasonably necessary to locate the Content;

  • a sufficiently detailed explanation of why You believe the Content infringes Your rights;

  • where You act on behalf of another person, information confirming Your authority to act on that person’s behalf; and

  • a statement confirming Your bona fide belief that the information and allegations contained in the notice are accurate and complete.

The Company may request additional information where reasonably necessary to identify the Content or assess the alleged infringement.

The Company will process notices in a timely, diligent, objective and non-arbitrary manner in accordance with applicable law. Where contact information has been provided, the Company will acknowledge receipt of the notice and inform the person who submitted it of the Company’s decision and, where applicable, available means of redress.

Where the Company determines that Content infringes applicable law or these Terms, or where the Company is otherwise legally required to do so, the Company may remove the Content, disable access to it or take other proportionate measures permitted by these Terms and applicable law.

Any restriction or removal of Content and any related restriction of an Account will be handled in accordance with the section “Content Moderation and Reporting Illegal Content.”

You must not knowingly submit false, misleading or abusive infringement notices.

Nothing in these Terms prevents the lawful use of copyrighted works where such use is permitted under applicable copyright law, including applicable limitations and exceptions to copyright.

Intellectual Property

The Service, including its original content, features, functionality, designs and other materials provided by the Company, excluding Content provided by users or third parties, remains the property of the Company or its licensors and is protected by applicable Finnish and European Union intellectual property laws and, where applicable, international agreements.

The Company’s trade name, names, logos, domain names, trademarks, and other identifiers are protected to the extent that the Company holds rights in them under applicable law. They may not be used in a manner that infringes the Company’s rights without the Company’s prior consent, except where such use is permitted by applicable law.

Your Feedback to Us

If You provide Feedback to the Company, You grant the Company a worldwide, royalty-free, perpetual, irrevocable, transferable and sublicensable licence to use, reproduce, adapt, develop, disclose and otherwise exploit that Feedback for any lawful purpose without an obligation to compensate You.

This licence does not waive or transfer any moral right to the extent that such a right cannot lawfully be waived or transferred.

The Company is under no obligation to use or implement any Feedback.

Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company does not control the content, availability, privacy practices, products, services or conduct of independent third parties. To the fullest extent permitted by applicable law, the Company is not responsible for loss or damage resulting solely from the acts, omissions or services of such third parties where the relevant loss or damage is not attributable to an act or omission of the Company.

You should review the terms, privacy information and other applicable conditions of third-party services before using them.

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.

Information About Places, Events and Third Parties

Information available through the Service concerning places, events, routes, opening hours, admission requirements, prices, availability, accessibility, age restrictions and similar matters may change and may be provided by third parties. You should verify information that is important to Your plans directly with the relevant venue, event organiser or other third party before relying on it.

Unless expressly stated otherwise, the inclusion, selection or presentation of a place, event, route, business or other third-party service through the Service does not mean that the Company operates or controls that third party and does not by itself constitute a guarantee or commercial endorsement of the information, products, services, safety, availability or conduct of that third party.

Suspension and Termination

The Company may restrict, suspend or terminate Your Account or Your access to all or part of the Service where there is a legitimate reason to do so, including where:

  • You materially or repeatedly breach these Terms;

  • Your use of the Service or Content posted by You is unlawful or reasonably believed to create a material risk to the rights or safety of other users, the Company or third parties;

  • Your Account is involved in fraud, misuse, unauthorised access, security threats or attempts to interfere with the Service;

  • the Company is required to take action by applicable law, a competent authority or a binding legal order; or

  • suspension or termination is reasonably necessary to protect the security, integrity or operation of the Service.

The Company will take into account the nature, seriousness, frequency and consequences of the relevant conduct and will seek to apply proportionate measures.

Where reasonable in the circumstances, the Company may provide You with notice or an opportunity to correct a breach before suspending or terminating Your Account. The Company may act without prior notice where immediate action is reasonably necessary because of a serious breach, security risk, unlawful activity, risk of harm, or a legal obligation requiring immediate action.

Where required by applicable law, the Company will provide You with the reasons for a restriction, suspension or termination and information about available means of redress.

The Company may discontinue all or a material part of the Service for legitimate operational, technical, legal, security or commercially necessary reasons. Unless immediate action is reasonably necessary because of a legal obligation, serious security risk, emergency or comparable circumstance, the Company will provide reasonable advance notice where practicable and required by applicable law.

Termination or suspension does not affect any rights or obligations that arose before the effective date of termination.

Account Deletion

You may request deletion of Your Account at any time through the account settings available in the Service.

Once You initiate Account deletion, the Account will be scheduled for deletion through the Company's automated deletion process. The deletion process will normally be completed without undue delay and within 30 days.. During this period, the Company does not guarantee that Your Account, Account information or Content can be restored in full. Once permanent deletion has been completed, the Account cannot be restored.

Personal data associated with the Account will be deleted or anonymised in accordance with applicable law and Our Privacy Policy. The Company may retain limited information where retention is required or permitted by applicable law, including where necessary for compliance with legal obligations, security and fraud prevention, or the establishment, exercise or defence of legal claims. Residual copies may also remain temporarily in secure backup systems in accordance with applicable retention schedules.

This Account deletion procedure does not limit any rights You may have concerning Your personal data under applicable data protection law.

Changes to the Service

The Company may modify, update or develop the Service from time to time for legitimate reasons, including to improve functionality or usability, maintain or improve security, prevent misuse, comply with legal or regulatory requirements, adapt the Service to technical developments or changes in third-party technologies, maintain compatibility, correct defects, or respond to reasonable operational requirements.

Changes made under this section will not impose additional charges on You unless You separately and expressly agree to a paid service or feature. The introduction of a paid feature or subscription will not result in charges unless You choose to purchase or subscribe to it. Any changes to the price of an existing paid service will be communicated and implemented in accordance with the mandatory consumer law.

The Company will provide information about material changes to the Service in a clear and understandable manner where reasonably appropriate.

Where applicable mandatory law requires advance notice of a change that negatively affects Your access to or use of the Service, the Company will provide such notice in the required form and will inform You of any applicable right to terminate Your use of the Service or other remedy available under applicable law.

Nothing in this section permits the Company to modify the Service in a manner that would unlawfully deprive You of mandatory consumer rights.

Limitation of Liability

Nothing in these Terms excludes or limits any liability of the Company, or any rights or remedies available to You, where such exclusion or limitation is prohibited by mandatory applicable law.

To the fullest extent permitted by mandatory applicable law, the Company will not be liable for loss or damage to the extent that such loss or damage:

  • was not caused by a breach of these Terms or a legal obligation attributable to the Company;

  • was not reasonably foreseeable as a consequence of the Company's breach at the time these Terms became binding;

  • results from inaccurate, incomplete or outdated information supplied by a third party where the Company could not reasonably have known that the information was inaccurate;

  • results from the acts, omissions, products, services, availability, safety, admission requirements or conduct of a venue, event organiser or other third party that the Company does not operate or control;

  • results from Your failure to verify information with the relevant third party where verification would reasonably be appropriate;

  • results from Your use of the Service in breach of these Terms or applicable law;

  • results from circumstances outside the Company's reasonable control, including failures or interruptions of third-party networks, infrastructure or services; or

  • constitutes a business or commercial loss arising from use of the Service for purposes outside Your capacity as a consumer.

  • results from personal injury, accident, property damage or other harm occurring at or in connection with a place, venue, event or route operated by an independent third party, except to the extent that the harm is attributable to an act or omission of the Company;

  • results from reputational harm arising from Content, reviews, statements or other information provided by users or independent third parties, except to the extent that the harm is attributable to an unlawful act or omission of the Company; or

  • constitutes loss of revenue, profits, customers, goodwill, business opportunity or other commercial loss suffered in connection with business or professional use of the Service, to the fullest extent such liability may lawfully be limited.

Where the Company is liable to You, its liability will be limited to loss or damage that is recoverable under applicable law and is attributable to the relevant act or omission of the Company.

Nothing in these Terms limits or excludes liability arising from intentional or grossly negligent conduct, personal injury or any other liability to the extent that such liability cannot lawfully be limited or excluded.

Service Availability and Disclaimer

The Company aims to provide the Service with reasonable care and to maintain its functionality, security and availability. However, the Company does not guarantee that the Service will be continuously available, uninterrupted or completely free from errors, defects or technical interruptions.

The Service may be temporarily unavailable or restricted where reasonably necessary for maintenance, updates, security measures, technical changes, emergency measures or circumstances outside the Company's reasonable control.

The Company does not guarantee that the Service will be compatible with every Device, operating system, browser, network or third-party service.

Governing Law

These Terms are governed by the laws of Finland.

If You use the Service as a consumer and are habitually resident in another country of the European Union or European Economic Area, this choice of Finnish law does not deprive You of any mandatory consumer protection afforded to You by the law that would apply in the absence of this choice.

Nothing in these Terms limits any right You may have under applicable mandatory law to bring proceedings before a competent court.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

Consumer Dispute Resolution

If a dispute between You and the Company cannot be resolved directly with the Company, You may contact the Consumer Advisory Services of the Finnish Competition and Consumer Authority for guidance and assistance.

If the dispute remains unresolved, You may refer the matter to the Finnish Consumer Disputes Board (Kuluttajariitalautakunta). Information about the Consumer Disputes Board and how to submit a complaint is available at https://www.kuluttajariita.fi/en/.

Before submitting a matter to the Consumer Disputes Board, You should first contact the Company and, where appropriate, the Consumer Advisory Services.

Nothing in this section limits Your right to bring a dispute before a competent court.

Severability and Waiver

Severability

If any provision of these Terms is found to be invalid, unfair or unenforceable under applicable law, that provision will not bind You to the extent required by applicable law. The remaining provisions will continue in effect to the extent that these Terms are capable of continuing without the affected provision.

Waiver

If either party does not exercise a right or enforce a provision of these Terms on a particular occasion, this does not prevent that party from exercising that right or enforcing that provision later.

A waiver relating to one breach of these Terms does not constitute a waiver of any other or subsequent breach.

Changes to These Terms and Conditions

The Company may amend these Terms where there is a legitimate reason to do so, including changes in applicable law or regulatory requirements, security requirements, technical developments, changes to the functionality or operation of the Service, the introduction, modification or discontinuation of features, or the correction or clarification of these Terms.

The Company will inform You of significant changes to these Terms in a clear and understandable manner.

Where the Company requires Your acceptance of revised Terms, You will be given an opportunity to review the revised Terms before accepting them. You may be required to accept the revised Terms before continuing to access or use the Service.

If You do not agree to revised Terms that require Your acceptance, You may stop using the Service and request a deletion of your account by email to hello@sidestreets.app. The Company may restrict continued access to the Service where acceptance of the revised Terms is reasonably necessary for continued use of the Service.

Where applicable law requires advance notice, a particular notice period, Your express consent, or another procedure before a change may take effect, the Company will comply with those requirements.

Unless required by applicable law or expressly agreed with You, amendments will not apply retroactively.
